Fiscal Edge Limited (“Fiscal Edge”, “Company”, “we”, “us” or “our”) provides innovative fiscalization, e-invoicing, and compliance solutions that empower businesses to automate invoicing, tax reporting, and payment processes seamlessly. Our services include Smart Invoice integration, real-time fiscal reporting, and our enterprise-grade invoicing and business management platform, EdgeCore. 

At Fiscal Edge, we are deeply committed to protecting the privacy, security, and integrity of our users’ personal and business data. We uphold transparency, accountability, and confidentiality in all our data handling practices. This Privacy and Cookie Policy (“Privacy Policy”) explains how we collect, use, store, share, and safeguard personal data from our Website Visitors, Fiscal Edge Users, Clients, and Vendors (“Data Subjects”) who interact with our products and services. 

This policy applies to our website, EdgeCore platform, and all related applications, services, and tools (collectively, our “Services”). 

While our solutions are primarily designed for businesses and organizations (“Clients” or “Merchants”), we recognize that individual users may engage with us directly or indirectly through these businesses. We are committed to responsibly processing personal data for everyone involved. In most cases, Fiscal Edge processes personal data on behalf of Clients as a service provider or “Data Processor.” We do not control and are not responsible for the privacy practices of our Clients. If you are a customer of a Fiscal Edge Client, please review that Client’s privacy policy and direct any privacy inquiries to them. 

This Privacy Policy does not apply to third-party websites, platforms, or services not owned or controlled by Fiscal Edge, including those operated by our Clients or partners. It applies exclusively to all systems, operations, and processes within the Fiscal Edge environment that involve the processing of personal data. 

When you use or opt in to any of our Services or products—such as EdgeCore, Smart Invoice, or our Fiscalization API—we may process your data for specific purposes, including providing, maintaining, and improving the Services. We may also share necessary data with trusted subprocessors and partners strictly to deliver these Services. 

Fiscal Edge processes all personal data in accordance with globally recognized data protection principles, including those outlined in the EU General Data Protection Regulation (GDPR), the OECD Guidelines on the Protection of Privacy and Transborder Flows of Personal Data, and the African Union Convention on Cyber Security and Personal Data Protection (Malabo Convention).

    - To set up, verify, and manage accounts for Clients and their teams. 
    - To enable the creation, tracking, and reconciliation of invoices and fiscal reports. 
  2. Compliance and Regulatory Obligations 
    - To comply with fiscal and taxation regulations in the countries where we operate. 
    - To meet anti-money laundering (AML) and Know Your Customer (KYC) requirements. 
    - To maintain accurate financial and audit records in compliance with applicable laws. 
  3. Service Improvement and Customization
    - To analyze usage patterns, improve user experience, and enhance platform performance. 
    - To develop new features and refine existing services based on user feedback and analytics. 
  4. Security and Fraud Prevention
    - To detect and prevent unauthorized access, fraud, misuse, or other harmful activity. 
    - To safeguard user accounts, business data, and platform integrity.

  • Meta Pixel allows us to measure the effectiveness of our campaigns, reach relevant audiences, and improve user experiences.

In cases where Fiscal Edge operates jointly with affiliates or business partners (such as ERP or POS integration partners), relevant data may be shared only to deliver the specific service or functionality you have requested. D. During Corporate Transactions

If Fiscal Edge is involved in a merger, acquisition, or asset transfer, data may be shared as part of the transaction process, provided that the receiving entity agrees to respect this Privacy Policy.

3.4 Personal Data Breach

At Fiscal Edge, we take the protection and confidentiality of personal data very seriously. We have implemented robust security and administrative measures to prevent data breaches and unauthorized access to personal information. However, in the unlikely event of a data breach, Fiscal Edge has established clear procedures for identifying, reporting, and managing such incidents.

Fiscal Edge maintains a comprehensive Data Breach Response Procedure to handle any incident involving the accidental or unlawful destruction, loss, alteration, unauthorized disclosure of, or access to, personal data that is transmitted, stored, or otherwise processed. 

If you become aware of any breach of personal data or suspect that your account credentials have been compromised, please contact our Data Protection Officer (DPO) immediately so we can take prompt action to protect your data and secure your account.

When Fiscal Edge becomes aware of a personal data breach, we will notify the affected individuals and relevant data protection authorities in accordance with applicable laws and regulations. The notification will include the following details:

  1. A description of the nature of the data breach, including the categories of personal data affected. 
  2. The likely consequences of the data breach. 
  3. The measures taken or proposed by Fiscal Edge to address the breach and mitigate its potential adverse effects.

Fiscal Edge will notify affected individuals without undue delay, and no later than 72 hours after becoming aware of the breach, except in exceptional circumstances that justify a delay. All breaches will be documented, and such records will be made available to the relevant authorities upon request.

We encourage all users and clients to take reasonable precautions to protect their accounts and data—such as using strong, unique passwords, keeping login information confidential, and promptly reporting any suspicious activity.

Fiscal Edge will report any breach that is likely to result in a risk to the rights and freedoms of individuals to the relevant authority within 72 hours of discovery, in full compliance with applicable data protection laws, including the General Data Protection Regulation (GDPR) and other regional privacy frameworks.

In the event of a data breach, Fiscal Edge will promptly assess the situation, take corrective action, and notify affected users and relevant authorities as required by applicable laws. 

3.5. Confidentiality Obligations 

All Fiscal Edge employees, contractors, and service providers are bound by confidentiality agreements and trained in data protection best practices. Internal access to personal data is strictly controlled and granted only to individuals who need it to perform their job functions. 

3.6. Your Responsibilities 

While Fiscal Edge implements strong security measures, users also play a role in maintaining data protection. We encourage you to: 

  • Use strong, unique passwords for your accounts. 
  • Keep login credentials confidential. 
  • Log out from shared or public devices. 
  • Report any suspicious activity to Fiscal Edge Support immediately.

4. Storage Limitation

We will retain your information for the following periods:

  • As long as reasonably necessary for providing our services to you.
  • For the duration your account is active (if applicable) and we have your consent.
  • For the period needed to comply with our legal and statutory obligations.
  • As needed to verify your information with a financial institution.

Fiscal Edge is legally and operationally required to retain certain data to process transactions, issue refunds, prevent and detect fraud, and comply with applicable financial and regulatory laws across the countries where we operate.

In accordance with data protection and anti-money laundering laws, Fiscal Edge retains transaction-related information — including customer and beneficiary names, addresses, identification numbers, transaction amounts, currencies, and related correspondence — for a defined period after the completion of each transaction or the termination of a business relationship.

While retention timelines may vary by jurisdiction, our general policy aligns with international standards such as the General Data Protection Regulation (GDPR) and regional laws. Typically, this means that Fiscal Edge retains transactional and identification records for a minimum of five (5) to seven (7) years, or longer if required by law or for legitimate business purposes.

Upon expiration of the applicable retention period, Fiscal Edge will securely delete, anonymize, or pseudonymize any personal data held, ensuring it cannot be reconstructed or linked back to you.

This Privacy Policy continues to apply even after our relationship with you ends. We may retain personal data as necessary to establish, exercise, or defend legal claims, comply with audits, or meet regulatory obligations. Additionally, Fiscal Edge may keep de-identified information indefinitely for analytical or statistical purposes — for example, to understand service usage trends and improve our systems — provided such data can no longer identify any individual.

5. Your Choices and Rights

At Fiscal Edge, we value and respect your privacy and data protection rights. In line with global data protection laws — including the General Data Protection Regulation (GDPR), Nigeria Data Protection Act (NDPA), and other applicable regional frameworks — individuals whose personal information is held by Fiscal Edge are entitled to exercise the following rights:

  1. Right of Access:
    You have the right to request access to the personal data Fiscal Edge holds about you. Upon verification of your identity, we will provide a copy of your data, along with information on how and why it is processed.   2. Right to Information:
    You have the right to be informed about how your personal data is collected, used, shared, and protected, including the safeguards in place when your data is transferred across borders.
  3. Right to Rectification:
    You may request correction or update of any inaccurate, incomplete, or outdated personal data we hold about you.
  4. Right to Erasure (Right to be Forgotten):
    You can request that Fiscal Edge deletes your personal information where there is no lawful reason for us to continue retaining or processing it.
  5. Right to Restrict Processing:
    You may request that we temporarily suspend the processing of your data in specific circumstances, such as when you contest its accuracy or object to our legitimate interest in processing it.
  6. Right to Data Portability:
    You have the right to request the transfer of your personal information from Fiscal Edge to yourself or a third party, where technically feasible.
  7. Right to Object:
    You may object to our processing of your personal data for direct marketing or where processing is based on legitimate interests. Fiscal Edge will respect your decision unless there are compelling legal grounds to continue processing.
  8. Right to Withdraw Consent:
    Where processing is based on your consent, you may withdraw it at any time without affecting the lawfulness of processing carried out before withdrawal.
  9. Right to Lodge a Complaint:
    If you believe your data protection rights have been violated, you have the right to file a complaint with the relevant Data Protection Authority in your jurisdiction (e.g., Nigeria Data Protection Commission, Zambia Data Protection Unit, or the appropriate supervisory authority in your country of residence).

6. Submitting a Grievance (Standard Notice to Address Grievance – SNAG)

If you believe your privacy rights have been infringed, you may submit a Standard Notice to Address Grievance (SNAG) to Fiscal Edge. The SNAG is a formal complaint form that allows you to request internal resolution before escalating the matter to a data protection authority.

Our Data Protection Officer will review and respond to your request within 30 days of receipt. If unresolved, you may escalate the complaint to the relevant supervisory authority in your jurisdiction.

Fiscal Edge remains committed to ensuring transparency, accountability, and the protection of your personal data across all countries of operation.

7. Compliance with Children’s Privacy

Our Services are all directed to people at least 18 years old or older.

We do not knowingly collect any “personal data” from anyone under 18 without valid parental consent. If we become aware that we have collected such personal data without parental consent, we will take reasonable steps to delete it as soon as possible.

We may need to update, modify or amend our Privacy Policy as our technology evolves and as required by law. Acceptable Use Policy

By accessing or using any Fiscal Edge service, platform, or application, you agree to comply fully with the terms and conditions of this Acceptable Use Policy (AUP).

1. Restricted Activities 

You may not use Fiscal Edge, its software, APIs, invoicing systems, or related services in connection with any product, service, transaction, or activity that:

  • Violates any applicable law or government regulation, or promotes, facilitates, or assists others in doing so; 
  • Contravenes the rules, regulations, or operating standards of any financial institution, payment processor, tax authority, or electronic funds transfer network; 
  • Is fraudulent, misleading, or deceptive in nature, including false representations of goods, services, or payment details; 
  • Damages or threatens the reputation of Fiscal Edge, its partners, or any financial institution or regulatory body we are affiliated with; 
  • Relates to prohibited or high-risk business activities as listed under Section 2 of this policy; or 
  • Creates, results in, or poses a material risk of chargebacks, financial losses, penalties, data compromise, or any form of legal or operational liability to Fiscal Edge or its affiliates.

Fiscal Edge reserves the right to review, suspend, or terminate access to our services for any account found to be engaging in restricted or unlawful activities, at our sole discretion.

2. Prohibited Business Categories 

You may not use Fiscal Edge in connection with any product, service, transaction, or activity that: 

  • Violates or falls under any prohibition list of customs or regulatory authorities in the countries where Fiscal Edge operates, including Zambia, Zimbabwe, Nigeria, and Tanzania. 
  • Relates to the sale, purchase, or distribution of any of the following: 
  • Banned narcotics, steroids, controlled substances, or unsafe consumer products; 
  • Human body parts, blood, or bodily fluids; 
  • Burglary tools or devices intended for illegal entry or theft; 
  • Counterfeit goods, replicas, or fraudulent documents; 
  • Illegal drugs or associated paraphernalia; 
  • Fireworks, explosives, or destructive devices; 
  • Identity or government-issued documents, personal financial records, or any other form of personal data; 
  • Lottery tickets, betting slips, or sweepstakes without valid licensing; 
  • Offensive, extremist, or hate-based materials promoting discrimination, violence, or financial exploitation; 
  • Hazardous chemicals or substances; 
  • Recalled, defective, or unsafe goods; 
  • Services deemed unlawful or unlicensed under applicable laws; 
  • Financial or investment products without required authorisation;
  • Stolen, pirated, or misappropriated property; 
  • Materials infringing on copyright, trademark, or privacy rights; 
  • Pornographic or sexually explicit content; 
  • Certain adult-oriented materials or escort services; 
  • Firearms, ammunition, or weapon accessories without proper licensing; 
  • Any activity that could expose Fiscal Edge to legal, reputational, or financial risk; 
  • Production or sale of military or paramilitary uniforms and insignia (including those of the police, customs, or immigration services). 

You may also not use Fiscal Edge to facilitate or support transactions that: 

  • Involve or expose the personal data of others unlawfully; 
  • Promote or fund pyramid schemes, Ponzi schemes, or other deceptive investment programmes; 
  • Relate to offshore banking, annuities, or lay-away systems funded by credit cards; 
  • Involve weapons, ammunitions, or arms-related trade; 
  • Involve gambling, gaming, or betting activities (including online casinos, lotteries, sports betting, or games of skill) unless explicitly approved by Fiscal Edge and compliant with all local laws and licensing requirements. 

Fiscal Edge reserves the right to deny or terminate service to any business or individual engaged in, or suspected of engaging in, these restricted categories or any activity deemed to pose regulatory or reputational risk. 

3. Enforcement Actions by Fiscal Edge 

If, at our sole discretion, Fiscal Edge determines that you have engaged in, or are likely to engage in, any activity that violates this Acceptable Use Policy (AUP) or poses a risk to our platform, users, partners, or reputation, we reserve the right — with or without prior notice — to take any action we consider appropriate to protect our interests and ensure compliance. 

Such actions may include, without limitation: 

  • Blocking, delaying, or reversing transactions that appear suspicious, unlawful, or non-compliant; 
  • Suspending, restricting, or permanently terminating your access to Fiscal Edge systems, applications, or services; 
  • Terminating any business or contractual relationship with you, including termination of any service agreements or integrations, without liability to Fiscal Edge; 
  • Pursuing legal or regulatory action against you where warranted; 
  • Disclosing relevant information about your activities to: 
  • Affected customers, suppliers, or merchants; 
  • Financial institutions, payment networks, or settlement partners involved in your transactions; 
  • Law enforcement, tax, or regulatory authorities; and 
  • Any third party impacted by your conduct; 
  • Charging or recovering from you any losses, penalties, assessments, or expenses (including legal fees) incurred by Fiscal Edge as a result of your breach of this policy. 

Fiscal Edge reserves the right to take these actions independently or in cooperation with financial and regulatory bodies across the jurisdictions in which we operate. Your continued use of Fiscal Edge services constitutes agreement to these enforcement terms. 

4. Updates, Modifications & Amendments

We may need to update, modify or amend our Acceptable Use Policy at any time. We reserve the right to make changes to this Acceptable Use Policy.

Dispute Policy

This policy serves as a guide to establishing a robust and transparent system to manage and resolve transaction disputes. It outlines the principles, procedures, and mechanisms governing the resolution process, providing a roadmap for all parties involved. The Dispute Policy is now part of the Terms of Service and Merchant Service Agreement. When you sign the MSA or consent to the Terms of Service, you’re also signing this Dispute Policy. Introduction 

A transaction dispute arises when a customer, or account holder formally contests a transaction made through Fiscal Edge’s systems, typically involving a merchant or service provider. 

Resolving a dispute involves a structured process of communication between the customer, Fiscal Edge, and the sub-merchant involved. 

This process typically requires supporting evidence, such as transaction receipts, invoices, delivery confirmations, or communication records relevant to the case. 

Depending on the nature and complexity of the dispute, Fiscal Edge may engage mediation or arbitration to ensure a fair and timely resolution, in accordance with applicable laws and industry best practices. 

Timelines

Fraud

Fraud claims are transactions disputed as unauthorized or fraudulent. This means that the reporting customer has reached out to the appropriate authorities to complain that they didn’t initiate the transaction.  Fraud claims have a time frame of 24 hours to be resolved. If not resolved within this timeline, it auto-accepts. Sometimes, fraud reports can progress to a court order, law enforcement request or regulator request.

Liability 

In accordance with this policy and the Fiscal Edge Terms of Service, all merchants and partners using Fiscal Edge services are bound by rules that clearly define and limit Fiscal Edge’s liability. 

Fiscal Edge is not liable for transaction disputes arising between merchants and their customers. The resolution of such disputes — including chargebacks, refund requests, or service complaints — is primarily determined by the customer’s bank, payment processor, or applicable card network, and Fiscal Edge does not influence or control those decisions. 

Merchants are responsible for ensuring that all information provided to Fiscal Edge  whether directly or through authorized representatives is accurate, truthful, and complete.

By using Fiscal Edge’s services, merchants agree to bear full responsibility for: 

  • Any chargebacks, fraud claims, or refund requests related to their transactions; 
  • Any fines, penalties, or fees imposed by financial institutions, regulators, or card schemes; and 
  • Any losses or liabilities resulting from inaccurate information, non-compliance, or breach of Fiscal Edge’s Terms of Service. 

These obligations are further detailed in the Fiscal Edge Terms of Service, which govern all merchant interactions and responsibilities on our platform. 

Dispute Cost

According to our Terms of Service, merchants are responsible and have indemnified Fiscal Edge against any claims (including legal fees) from third parties resulting from the merchant’s violation of the Merchant Service Agreement, applicable laws, or ERP rules for the POS methods in use.

Right To Information Sharing

Fiscal Edge has the right to share information about a merchant and their transactions with regulators, acquirers, issuers, law enforcement, and other authorities to comply with legal requirements. This sharing is important to prevent fraud, investigate suspicious transactions, and maintain the security of our payment systems.

By cooperating with these entities, we help detect, prevent and give relevant information on financial crimes, ensuring the safety of everyone involved in the payment process. All claims relating to your use of Fiscal Edge’s platform, including disputes arising from invoice or fiscalization records, must be reported within forty-five (45) days from the date the issue occurred. After this period, you waive any right to make a claim against us to the fullest extent permitted by law. 

If you engage in a transaction with a third party and have a dispute regarding the goods or services rendered, Fiscal Edge will not be liable for the quality, delivery, or fulfillment of such goods or services. Our platform’s role is limited to enabling the digital creation, tracking, and fiscalization of invoices — we do not handle or mediate the underlying commercial transaction. 

Fiscal Edge may, at its sole discretion, assist in facilitating communication or providing transaction data to support dispute resolution but is under no obligation to intervene or determine outcomes. 

For all dispute-related requests, your invoice reference number or relevant fiscalization details will be required to initiate a review. 

Acceptable Use Policy

(b) Any damages whatsoever exceeding the greater of the total amount paid by you to Fiscal Edge for the service that gave rise to the claim or twenty thousand United States Dollars (US$20,000.00), whichever is lesser. 

This limitation applies regardless of the cause of action — whether based on contract, warranty, negligence, tort, statute, or any other legal theory — and even if Fiscal Edge has been advised of the possibility of such damages. 

Your use of Fiscal Edge’s website, platform, or services signifies your understanding and agreement that this limitation of liability represents a fair and reasonable allocation of risk between the parties. 

Exclusions

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain damages. Applicable Law

These Terms of Use shall be governed by and construed in accordance with the laws of the Republic of Zambia.

Legal Disputes

We are committed to resolving all disputes amicably. In the event that any dispute arising from these Terms of Use cannot be resolved through mutual negotiation within one (1) month, such dispute shall be referred to arbitration in accordance with the provisions of the Arbitration Act, Chapter 40 of the Laws of Zambia. 

The arbitration shall be conducted by a single arbitrator, jointly appointed by both parties. Where both parties fail to agree on the choice of an arbitrator, the appointment shall be made by the Chartered Institute of Arbitrators (Zambia Branch).

The decision of the arbitrator shall be final and binding on both parties. Each party shall bear its own costs associated with the arbitration. The venue of arbitration shall be Lusaka, Zambia.

Severability

If any portion of these Terms of Use is held by any court or tribunal to be invalid or unenforceable, either in whole or in part, then that part shall be severed from these Terms of Use and shall not affect the validity or enforceability of any other part in this Terms of Use.
